Terms of Service — Sumi

These Terms of Service (“Terms”) govern your use of the Sumi mobile application (the “App”), provided by Day One Foundry LLC (“we,” “us,” or “our”). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or guardian.

2. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the App on Apple devices that you own or control, for your own personal, non-commercial use. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the source code of the App, except to the extent this restriction is prohibited by applicable law.

3. Acceptable use

You agree not to misuse the App, including by attempting to interfere with its normal operation, accessing it through unauthorized means, using it for any unlawful purpose, or infringing the rights of others.

4. Subscriptions, purchases, and billing

Sumi is free to download and use, with an optional premium tier (“Sumi Pro”) available through auto-renewing subscriptions (monthly or annual) and/or a one-time “Lifetime” purchase.
All purchases are processed by Apple through your App Store account. Prices are shown in the App before purchase and may vary by region.
Auto-renewing subscriptions renew automatically at the end of each period unless you cancel at least 24 hours before the end of the current period. Your App Store account is charged for renewal within 24 hours prior to the end of the current period.
If a free trial is offered, any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
You can manage or cancel subscriptions in your device’s Settings > Apple Account > Subscriptions. Deleting the App does not cancel a subscription.
Except where required by law, payments are non-refundable. Refund requests are handled by Apple under the App Store terms.

5. Use responsibly

Sumi is a focus and timer tool intended for general productivity and well-being. It is not a medical, health, or professional service and does not provide professional advice. You are responsible for your own safety and your surroundings while using the App; do not use the App in any way that distracts you from activities that require your full attention, such as driving.

6. Intellectual property

The App, including its design, text, graphics, logos, and software, is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or branding.

7. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DAY ONE FOUNDRY LLC OR ITS OWNERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM, OR USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold harmless Day One Foundry LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the App or violation of these Terms.

10. Termination

You may stop using the App at any time by deleting it. We may suspend or terminate your access to the App at any time if you violate these Terms or if we discontinue the App. Sections that by their nature should survive termination will survive.

11. Apple

These Terms are between you and Day One Foundry LLC only, not with Apple. Apple is not responsible for the App or its content. To the extent the App is a “Licensed Application” under Apple’s standard Licensed Application End User License Agreement, that agreement also applies, and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you.

12. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in the State of California, United States for any dispute not subject to arbitration or small-claims court, to the extent permitted by applicable law.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the App after an update means you accept the revised Terms.
